These terms of use and sale (the “Terms”) govern access to and use of the Memento website (the “Service”), published by OCVP Solutions, and subscription to the paid “Premium” plan. By creating an account or subscribing, you accept these Terms in full.

1. Definitions

• Publisher: OCVP Solutions, which operates the Service.
• User: anyone accessing the Service, with or without an account.
• Member: a User with an account.
• Sheet: a condensed content page published on the Service.
• Premium: the paid subscription plan described in section 4.

2. Purpose of the Service

Memento provides condensed reference sheets on recurring topics. Reading does not require an account. Some features (favourites, history, progress tracking, subscription) are reserved for Members.

3. Account

Creating an account requires a valid email address and a password. The email address must be confirmed. The Member undertakes to provide accurate information, keep their credentials confidential, and notify the Publisher of any unauthorised use. Accounts are strictly personal.

Members may delete their account at any time from the “Privacy & data” area. The Publisher may suspend or terminate an account for breach of these Terms, with prior notice except in cases of urgency or legal obligation.

4. Plans

4.1 Free plan

Access to sheets marked “free” is open and unlimited. Members without a subscription also get to unlock 3 “Premium” sheets per calendar month, which do not roll over. Locked Premium sheets are shown as a preview.

4.2 Premium plan

The Premium subscription unlocks unlimited access to all sheets, with no monthly cap, plus the related features. It is offered at €4.99 per month, all taxes included (an annual plan may be offered at a reduced rate shown at checkout). A free trial may be offered; when it ends, the subscription becomes payable unless cancelled beforehand.

5. Orders, prices and payment

Subscriptions are taken out online. Payment is processed by our provider Stripe Payments Europe, Ltd.; the Publisher neither collects nor stores card numbers. Prices are shown inclusive of tax, in euros. The Publisher may change its prices; any change is notified to the Member at least 30 days in advance and applies only to subsequent renewals, the Member being free to cancel beforehand.

If a payment fails, Premium access may be suspended after several unsuccessful charge attempts. Invoices are available through the customer portal.

6. Term, renewal and cancellation

The subscription runs for one month (or one year for the annual plan) and renews automatically for identical periods, with no minimum commitment.

The Member may cancel at any time, free of charge and without reason, from “My account → Subscription”, which opens the secure Stripe portal. Cancellation takes effect at the end of the current period: Premium access remains open until then, with no refund of the started period.

The Publisher may terminate the subscription for serious breach or if the Service is discontinued, with reasonable notice and a pro-rata refund of the unused period where applicable.

7. Right of withdrawal

Under French consumer law you generally have 14 days to withdraw from a distance contract. As the Premium subscription supplies digital content that starts immediately, you expressly request, when subscribing, that performance begin before the withdrawal period ends, and you acknowledge that your right of withdrawal ends once the service has been fully performed for the period concerned. If you withdraw before the end of the first period, you will be refunded pro rata for the remaining time, less the part already performed. To exercise this right, email cyrilperard13@gmail.com.

8. Acceptable use

The Member must not:

• share credentials or resell access to the Service;
• bulk-extract, copy or redistribute sheet content (scraping, republishing, reselling, building a competing database);
• attempt to circumvent access limits or security measures;
• disrupt the Service (abnormal load, injection, etc.);
• submit unlawful, defamatory or offensive content through the feedback forms.

9. Intellectual property and licence

Sheets and all Service content remain the property of the Publisher. The Publisher grants the Member a personal, non-exclusive, non-transferable licence to use the sheets for private purposes, including exporting a sheet as Markdown for individual use. Any other use requires written permission.

By submitting feedback or a suggestion, you grant the Publisher the right to use that content freely to improve the Service, without compensation.

10. Availability and changes

The Service is provided “as is”. The Publisher may change it, add or remove sheets and features. If Premium features are significantly removed, the Member may cancel without penalty.

11. Liability

Sheets are informational and do not constitute professional advice (legal, medical, accounting, technical…). The Publisher is not liable for indirect damage, loss of data or loss of profit arising from use of the Service. In any event, and save for gross negligence or wilful misconduct, the Publisher’s liability to a Member is limited to the amounts paid by that Member over the previous 12 months. These limitations do not apply to personal injury or where the law prohibits them.

12. Personal data

User data is processed in accordance with the privacy policy.

13. Force majeure

Neither party is liable for a failure caused by an event of force majeure.

14. Changes to the Terms

The Publisher may amend these Terms. Members are notified of material changes at least 30 days before they take effect. Continued use constitutes acceptance; otherwise the Member may delete their account.

15. Severability

If any provision is found void or unenforceable, the remaining provisions stay in full force.

16. Governing law and disputes

These Terms are governed by French law. In the event of a dispute, we will first seek an amicable solution — email cyrilperard13@gmail.com. Consumers residing in the EU may use the online dispute resolution platform: ec.europa.eu/consumers/odr, and, in France, the consumer mediator: [mediator name, address and website]. Failing an amicable settlement, the French courts have jurisdiction as provided by law.
